Call for Volunteers: OAWA Governance Committee

The OAWA is calling for volunteers to participate in the new Governance Committee.  The Terms of Reference and other details are listed below.

OAWA Proposed Terms of Reference Governance Committee

Ontario Amateur Wrestling Association Governance Committee 2019-2020

Mandate:

The Governance sub-committee (GC) will develop and propose a new governance model for Ontario Amateur Wrestling Association (OAWA) that will update the current OAWA Constitution and by-Laws and comply with the new Ontario Not-for-Profit Corporations Act (ONCA) when the Act comes into effect.  The new by-Laws will foster good governance principles; and enable and improve organizational effectiveness.

The Governance Committee will build on the work initiated by the 2018-2019 Governance Committee.  Additional feedback on the 2019 Draft by-Laws will be sought from OAWA member-clubs.

The OAWA’s governance model broadly encompasses: articles of incorporation and bylaws; membership structure and classes; type of board and board composition; nomination system; board succession planning; committee structure and terms of reference; roles and responsibilities of board, committees, staff; reporting relationships within Ontario Amateur Wrestling Association.

Reporting Structure:  The Governance Committee will report to the OAWA Board of Directors and ultimately to the membership of the OAWA with structure recommendations at the 2020 Annual General Meeting.

Members of the Committee/Recruiting: Suggest a committee made up of 3-4 members.  The OAWA Provincial Director would be an added ex-officio member of the Committee acting as a resource to the Committee.  Suggested that OAWA put out a call for potential interested persons to sit on the Committee, with the selection process to be recommendations by the OAWA Executive Committee ratified by the OAWA Executive Committee.

Term of committee:  Suggested:  1-year term, to the 2020 AGM.  The Committee will work toward the 2020 OAWA Annual General Meeting at which the Committee will present its report for the membership to discuss and ratify.  Following the 2020 AGM, the OAWA Board of Directors and the membership will determine if there is a need for the Committee to continue.

Ratification Process (suggested): Committee to work from the survey for feedback on the draft by-Laws as presented at the 2019 AGM.  An updated draft proposal to be developed for discussion at the January 2020 OAWA Board of Directors’ meeting.  Follow up review and revision January – May 2020.  Final Presentation to the OAWA Board of Directors and the OAWA membership at the 2020 OAWA General Meetings.
